These documents apply to QOOBIX IDAAS, Intelligence Delivered As A Service, a market-intelligence delivery environment created and managed by Sienda Ltd.


Terms of Service

1.1 About QOOBIX IDAAS

QOOBIX IDAAS is a managed market-intelligence delivery service. It helps business clients receive structured intelligence packages such as editable reports, discovery workbooks, opportunity summaries, competitor analysis, candidate organisation tables for verification, regional assessments, positioning notes, verification workflows and action-priority recommendations.

QOOBIX IDAAS is not a public SaaS platform, CRM, lead database, public account system or outreach automation tool.

1.2 Provider

QOOBIX IDAAS is created and managed by Sienda Ltd, Company No. 08194971, with registered office at Third Floor, 207 Regent Street, London, W1B 3HH, United Kingdom.

1.3 Business use

QOOBIX IDAAS is intended for business and professional use. It is designed for organisations that require market-intelligence support before entering a market, appointing a distributor, approaching partners, opening a location, launching a campaign or investing in commercial activity.

Unless expressly agreed otherwise in writing, QOOBIX IDAAS is not offered as a consumer service.

1.4 Secure access and authorised users

Access to the QOOBIX IDAAS environment is restricted to authorised users, Sienda Ltd administrators and qualified partner workspaces approved by Sienda Ltd.

Ordinary clients do not need to operate the platform in order to receive an intelligence package. The client provides the business context and market question; the authorised operator prepares the job, runs the intelligence process, reviews the output and delivers the intelligence package.

Authorised users are responsible for keeping access codes, recovery phrases, private links, downloaded files and temporary signed links secure.

1.5 No public registration

QOOBIX IDAAS does not provide open public registration. Users cannot simply create an account, subscribe, sign up or buy platform access automatically through the application.

Access is granted only after prior agreement with Sienda Ltd or through a qualified partner workspace authorised by Sienda Ltd.

1.6 Client responsibilities

The client is responsible for providing accurate and lawful information for the intelligence work.

The client must ensure that any data supplied for QOOBIX IDAAS is provided lawfully and with proper authority.

The client must not provide unnecessary, excessive, confidential, sensitive, personal, unlawful, defamatory, discriminatory, fraudulent or harmful content unless expressly required, lawful and agreed for the engagement.

The client must review and verify all outputs before relying on them.

1.7 AI-assisted outputs

QOOBIX IDAAS outputs are AI-assisted and operator-reviewed. They may include assumptions, hypotheses, summaries, suggested categories, named candidate organisations for verification, possible competitors, partner categories, commercial opportunities and action priorities.

QOOBIX IDAAS does not guarantee that any output is accurate, complete, current, suitable, commercially successful, legally compliant, technically correct or fit for a specific purpose.

QOOBIX IDAAS supports decision-making. It does not replace human judgement, direct market validation, professional advice, commercial due diligence, legal advice, financial advice, technical advice, regulatory advice or sector-specific expert review.

1.8 Downloadable outputs

QOOBIX IDAAS normally delivers outputs as downloadable files, including DOCX reports, XLSX workbooks, RTF reports and CSV tables.

The client is responsible for downloading and keeping any files it wishes to retain.

Generated files are stored temporarily and may be deleted after the applicable retention period.

1.9 File retention

Unless otherwise agreed or configured, generated files are retained for 30 days.

Sienda Ltd may delete generated files after the retention period expires. Sienda Ltd is not responsible for keeping permanent copies of client outputs unless expressly agreed in writing.

1.10 Temporary download links

QOOBIX IDAAS may use temporary signed download links. These links may remain valid for a limited time, for example four hours.

Anyone with a valid temporary signed download link may be able to access the file until the link expires. The client is responsible for controlling who receives such links.

1.11 Payment

Fees are agreed outside the application by proposal, quotation, invoice, email or other direct agreement between Sienda Ltd and the client or authorised delivery party.

Payment is normally made by bank transfer unless otherwise agreed.

QOOBIX IDAAS does not currently operate automatic checkout, card payment or public subscription purchasing inside the application.

1.12 No refund policy

QOOBIX IDAAS is a provisioned digital service and managed intelligence delivery process. The client is given the opportunity to review the proposed service scope before purchasing.

Once access has been provisioned, configuration has begun, an intelligence process has started, or digital outputs have been generated, payments are non-refundable, except where required by applicable law or expressly agreed in writing by Sienda Ltd.

The client acknowledges that fees may cover scoping, provisioning, configuration, access preparation, AI-assisted generation, report creation, workbook creation, review, technical operation and digital delivery.

1.13 Suspension and termination

Sienda Ltd may suspend or terminate access if a user breaches these Terms, fails to pay agreed fees, misuses the application, attempts unauthorised access, shares access irresponsibly or uses QOOBIX IDAAS for unlawful or harmful purposes.

The client may request termination of its engagement by contacting support@siendaweblines.com.

1.14 Intellectual property

QOOBIX, QOOBIX IDAAS, Proteus, the application structure, workflows, software, interface, prompts, intelligence orchestration logic, templates, document structures, branding and related materials are owned by Sienda Ltd or its licensors.

The client receives the right to use QOOBIX IDAAS outputs for its own internal business purposes, unless otherwise agreed in writing.

The client must not copy, reverse engineer, resell, sublicense, reproduce, or create a competing product from the QOOBIX system, workflows, templates, prompts or application logic.

1.15 Client data

The client retains ownership of the business information it provides for QOOBIX IDAAS.

By using QOOBIX IDAAS, the client authorises Sienda Ltd to process that information for the purpose of providing, operating, supporting, securing, improving and delivering the service.

1.16 Third-party services

QOOBIX IDAAS may rely on technical service providers, including hosting, database, storage and AI infrastructure providers.

Current providers may include Vercel, Supabase and OpenAI.

Sienda Ltd may change technical providers where reasonably necessary to operate or improve the service.

1.17 Availability

Sienda Ltd aims to keep QOOBIX IDAAS available and functional for authorised users, but does not guarantee uninterrupted access, error-free operation, permanent availability or successful generation for every request.

Access may be interrupted by maintenance, technical issues, third-party provider outages, security measures or operational changes.

1.18 Limitation of liability

To the maximum extent permitted by law, Sienda Ltd is not liable for loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss of expected savings, loss of data, indirect loss, consequential loss or decisions made in reliance on QOOBIX IDAAS outputs.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

1.19 Changes to these Terms

Sienda Ltd may update these Terms from time to time. The latest version will apply from the effective date shown above or from the date made available to the client.

1.20 Governing law

These Terms are governed by the laws of England and Wales.

Unless otherwise agreed in writing, the courts of England and Wales shall have jurisdiction.
